Business Terms
Draft for legal review · Last updated September 8, 2026
This document describes HotSpotz based on current product behavior. It is not final legal advice. Sections marked for review need owner or attorney confirmation before relying on them publicly.
1. Scope
These Business Terms apply when you create or manage a business presence on HotSpotz, including listings, offers, photos, and Business Portal tools. They supplement the HotSpotz Terms of Service. If there is a conflict about business advertising features, these Business Terms control for that subject.
2. Authority and accuracy
You represent that you are authorized to act for the business you list, and that information you submit (name, category, address, hours, contact details, photos, offers, and other profile content) is accurate and kept reasonably up to date. You are responsible for the content of your listing and offers.
3. Listings, media, and offers
Profile and media
You may upload photos and other media you have rights to use. You grant HotSpotz a non-exclusive license to host and display that content as part of HotSpotz. Misleading, infringing, unlawful, or inappropriate content is prohibited.
Offers and promotions
Offers may include specials, limited-time promotions, events, or other reasons to visit, consistent with HotSpotz offer tools. You are responsible for honoring valid offers as presented to members and for complying with applicable advertising and consumer laws. Do not create deceptive or bait offers.
TODO — legal/owner review: Confirm required offer disclosures (blackout dates, exclusions) and HotSpotz’s role if a business fails to honor an offer.
4. Review, moderation, and suspension
HotSpotz may review listings and offers before or after they go live, require changes, or remove content that violates these Terms or product rules. HotSpotz may pause accounts, hide listings, or disable offers when needed for trust and safety, billing issues, or policy enforcement.
5. Membership and offer pricing (product policy)
Approved permanent HotSpotz advertising pricing:
- Business membership: $100 per month for your HotSpotz business listing / advertising presence.
- Active offers: $10 per active offer, billed every 30 days while the offer remains active. Charges continue on that cycle until the offer is deactivated or renewal is cancelled according to product controls.
Membership and offer amounts shown in your Business Portal reflect current HotSpotz pricing settings and may be updated. HotSpotz does not publish temporary founder, first-100, or launch specials as permanent policy on this site.
Implementation note
Product policy is as stated above. Card capture, recurring charging, and portal billing flows continue to mature. Where the live billing implementation does not yet fully enforce every aspect of this policy, HotSpotz still intends the policy above as the commercial terms for advertising on HotSpotz. Do not treat portal “preview” or incomplete payment steps as a waiver of these rates.
TODO — legal/owner review: Confirm cancellation effective dates, proration, failed-payment handling, refunds, and complimentary/account exceptions with owner + counsel. Align final text once billing enforcement is complete.
6. Metrics
Dashboard metrics (such as impressions, favorites, and offer saves) are engagement indicators for your listing. They are not guarantees of customers, traffic, revenue, conversions, or ROI.
7. No performance guarantees
HotSpotz does not guarantee impressions, clicks, favorites, offer saves, visits, sales, or any particular business result from listing or advertising on HotSpotz.
8. Intellectual property
You retain ownership of your pre-existing business content. You grant HotSpotz rights needed to operate discovery and advertising features. HotSpotz marks and software remain HotSpotz property.
TODO — legal/owner review: Confirm content license language with counsel for the final version.
9. Service changes and termination
HotSpotz may change features, pricing, or these Business Terms with notice by updating this page and/or communicating in the Business Portal. Either party may stop the business relationship subject to applicable billing obligations for periods already started. HotSpotz may terminate or suspend access for violations or operational necessity.
10. Disclaimers and liability
Business tools are provided “as is.” To the fullest extent permitted by law, HotSpotz disclaims implied warranties and limits liability as described in the Terms of Service, including for lost profits or business interruption related to advertising performance.
TODO — legal/owner review: Confirm whether business customers should have a different liability cap than consumers.
11. Governing law
TODO — legal/owner review: Confirm governing law, venue, arbitration, and class-action terms for business customers.
